PLEASE READ THIS AGREEMENT CAREFULLY. BY DOWNLOADING, INSTALLING OR USING THE SOFTWARE YOU AGREE TO BE BOUND BY THIS AGREEMENT ON BEHALF OF YOURSELF AND THE ORGANISATION YOU REPRESENT ("YOU"). IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.
1. DEFINITIONS 1.1 "Software" means the ROVIX Universal API Add-on for Splunk (app ID TA-rovix-universal-api), including updates, documentation and any license keys supplied by ROVIX. 1.2 "License Key" means the signed key issued by ROVIX that enables the Software after the Evaluation Period. 1.3 "Licensed Server" means each Splunk server whose Server ID (as shown on the Software's Configuration > License page) is listed in your License Key. 1.4 "Subscription Term" means the period stated in your License Key or order, normally twelve (12) months from issue. 1.5 "Evaluation Period" means thirty (30) days from first use of the Software on a Splunk server.
2. EVALUATION You may use the Software free of charge during the Evaluation Period to evaluate it. After the Evaluation Period, data collection is paused until a valid License Key is entered. Evaluation use is provided "AS IS" without support obligations.
3. LICENSE GRANT Subject to this Agreement and payment of the applicable fees, ROVIX grants you a non-exclusive, non-transferable, non-sublicensable license, for the Subscription Term, to install and use the Software on the Licensed Server(s) solely for your internal business operations.
4. FEES, RENEWAL AND EXPIRY 4.1 Fees are as stated in your quotation or invoice and are payable in advance. Fees are non-refundable except as required by law or agreed in writing by ROVIX. 4.2 Before the Subscription Term ends you may renew by paying the renewal fee; ROVIX will issue a renewed License Key. 4.3 After expiry the Software continues to collect data for a grace period of seven (7) days, after which data collection pauses until a valid License Key is entered. Your configuration and collection progress are kept.
5. RESTRICTIONS You must not, and must not allow others to: (a) circumvent, disable, modify or interfere with the license verification or License Keys; (b) share, publish, resell, rent, lease or sublicense the Software or any License Key; (c) use the Software on servers other than the Licensed Server(s) or beyond the Subscription Term, except during an Evaluation Period; (d) modify, translate or create derivative works of the Software, except as necessary to configure it through its user interface; (e) use the Software in breach of any law or third-party rights, or to access any service you are not authorised to access; (f) remove or alter any proprietary notices.
6. SERVER CHANGES If a Licensed Server is rebuilt or replaced during the Subscription Term, ROVIX will re-issue the License Key for the replacement server on request, provided the original server is no longer used with the Software.
7. YOUR DATA AND PRIVACY 7.1 The Software runs entirely within your Splunk environment. It connects only to the API endpoints you configure and does not send your data, credentials or usage information to ROVIX. 7.2 License Keys are verified offline. A License Key contains the licensee name, contact email, license ID, edition, expiry date and Server ID(s) you supplied when purchasing. 7.3 You are responsible for having the right to access the APIs you configure and for the data you collect with the Software. 7.4 ROVIX processes the business contact details you give us (name, email, company, Server ID, order details) only to issue and administer licenses, provide support and invoice you.
8. SUPPORT AND UPDATES During a paid Subscription Term, ROVIX provides email support at info@RovixTechnologies.com on business days (India Standard Time) and makes updates available to you. Support covers the Software itself, not third-party APIs, Splunk products or your infrastructure.
9. THIRD-PARTY COMPONENTS The Software includes open-source components (including requests, urllib3, certifi, idna, charset-normalizer, solnlib, splunktaucclib and the Splunk SDK for Python) licensed under their own terms, which are included with those components in the lib/ directory of the Software. Nothing in this Agreement restricts your rights under those licenses.
10. OWNERSHIP AND TRADEMARKS The Software is licensed, not sold. ROVIX and its licensors retain all rights, title and interest in the Software. "ROVIX" and the ROVIX logo are trademarks of Rovix Technologies Pvt. Ltd. "Splunk" is a trademark of Splunk LLC. The Software is developed by ROVIX and is not endorsed or supported by Splunk.
11. WARRANTY DISCLAIMER TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND ROVIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. ROVIX DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT THIRD- PARTY APIS WILL REMAIN AVAILABLE OR UNCHANGED. YOU ARE ENCOURAGED TO TEST THE SOFTWARE DURING THE EVALUATION PERIOD.
12. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROVIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS OR BUSINESS. ROVIX'S TOTAL LIABILITY ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE FEES YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. TERM AND TERMINATION This Agreement remains in force for the Evaluation Period and any Subscription Term. ROVIX may terminate it, and revoke License Keys, if you materially breach it and do not cure the breach within fifteen (15) days of notice. On termination or expiry you must stop using the Software, except that sections 5, 7, 9 to 12 and 14 survive.
14. GENERAL 14.1 Export: you will comply with all applicable export control and sanctions laws when using the Software. 14.2 Governing law: this Agreement is governed by the laws of India, and the courts of India have exclusive jurisdiction. 14.3 Entire agreement: this Agreement, together with any order or invoice from ROVIX, is the entire agreement about the Software. If an order signed by both parties conflicts with this Agreement, the order wins. 14.4 If any provision is unenforceable, the rest remains in effect. 14.5 Notices: info@RovixTechnologies.com.
